General Terms

1. Introduction
These General Terms govern the professional relationship between Saltframes Studio ('we', 'us', 'the Studio') and our clients ('you', 'the Client') in relation to the provision of web development, design, and related digital services.
By engaging our services, you confirm that you have read, understood, and agreed to these terms. If you do not agree, please do not engage our services.
2. Services
Saltframes Studio provides web development and design services including custom websites, online stores, landing pages, and bespoke digital products.
The precise scope of each engagement is defined in a written project proposal or agreement provided prior to commencement. Services not explicitly included in that agreement are out of scope.
We reserve the right to decline or discontinue any project that we believe is unlawful, unethical, or incompatible with our values.
3. Intellectual Property
Upon receipt of full payment for a project, intellectual property rights for all custom-created deliverables (design, code, and content produced by us) transfer to you.
Third-party assets - including open-source libraries, stock photography, fonts, and licensed plugins - remain subject to their own respective licences. We will inform you of any such third-party dependencies.
We reserve the right to display completed work in our portfolio unless explicitly requested in writing to keep it confidential.
4. Client Responsibilities
You are responsible for providing accurate, complete, and timely content, materials, and feedback required for the project.
Delays caused by late or incomplete content from the Client may affect the project timeline and may incur additional costs, which will be communicated in advance.
You are responsible for ensuring that any materials you provide to us do not infringe third-party intellectual property rights.
5. Pricing and Payment
Project pricing is outlined in the written proposal provided before work begins. Prices are quoted in the agreed currency and are exclusive of VAT where applicable.
A deposit (typically 40–50% of the total project fee) is required before work commences. The remaining balance is due upon project completion prior to final delivery.
For larger projects, a payment schedule with defined milestones may be agreed in writing. All invoices are due within 14 calendar days of issue.
Saltframes Studio reserves the right to suspend work or withhold deliverables if payments are not received by the agreed due date.
6. Project Timelines
Estimated timelines are provided in the project proposal and are contingent on timely receipt of content, feedback, and approvals from the Client.
While we make every effort to meet agreed deadlines, we cannot guarantee exact delivery dates where delays are caused by factors outside our control, including but not limited to delays in Client feedback, third-party integrations, or force majeure events.
Significant scope changes requested by the Client may require a revised timeline and may be subject to additional fees.
7. Warranties and Limitation of Liability
We warrant that we will perform all services with reasonable care and skill. We do not guarantee specific business outcomes, search engine rankings, or revenue results from the delivery of a website.
To the maximum extent permitted by applicable law, our total liability in connection with any project shall not exceed the total fees paid by you for that project.
We are not liable for any indirect, consequential, or incidental loss, including but not limited to loss of profit, data, or business opportunity.
8. Third-Party Services
Some projects may involve third-party platforms (e.g. Shopify, payment gateways, hosting providers, analytics tools). We are not responsible for the performance, availability, or policy changes of third-party services.
Domain registration, hosting, and recurring third-party subscriptions are separate from our development fees and are the responsibility of the Client.
9. Governing Law
These terms are governed by the laws of the Republic of Bulgaria. Any disputes arising from or in connection with these terms shall be subject to the jurisdiction of the competent courts of Varna, Bulgaria.
For clients in the European Union, applicable EU consumer protection regulations also apply.
10. Changes to These Terms
We may update these General Terms from time to time. The version published on our website at the time of an engagement shall apply to that engagement.
We will notify clients of material changes via email where a project is in progress.
